The use of M&A and transaction liability insurance has grown in both volume and scope. With sellers looking to exit deals quickly and with a greater percent of capital, and buyers wanting to strengthen their bid and secure their investments from potential breaches of seller’s warranties, financial instruments have emerged to replace traditional indemnities and close the gap in negotiations between buyers and sellers. With the success and widespread adoption of these programs, additional solutions have been developed to improve outcomes for transactions and for situations outside of a transaction.
In this session, our speakers will examine how private equity firms and corporations are leveraging M&A and transaction liability insurance, including representations and warranties, tax, litigation and contingent liability insurances to secure their investments and enhance their return. Special focus will be given to how technology assets should be considered and managed within a transaction. We will also look at how these solutions can be used outside of transaction to ring fence pending litigation or as a tool to manage corporate tax risk. Rounding out the presentation, we will review the claims process and claims activity as well as trends that were identified in Aon’s recent M&A Insurance Risk in Review report.
