Aon Artificial Intelligence Schedule

This Aon Artificial Intelligence Schedule (“Schedule”) forms part of the agreement between Aon and the entity purchasing Aon’s services (“Client”) and any applicable statement of work (collectively the “Agreement”). To the extent that the provisions of this Schedule conflict with, or are inconsistent with, any provisions in the Agreement, this Schedule shall prevail.

1. Definitions

1.1 “Artificial Intelligence” or “AI” means a machine-based system or model that is designed to operate with varying levels of autonomy and that may exhibit adaptiveness after deployment, and that, for explicit and implicit objectives, infers, in a way that replicates or approximates human-like intelligence from the input it receives, how to generate outputs such as predictions, content, recommendations, or decisions that  can influence physical or virtual environments. For the avoidance of doubt, this definition specifically excludes mathematical, statistical or computational models used solely for data organisation or analytical purposes and which do not independently perform decision‑making.

1.2 “AI Output” means any and all content, data, materials, or other results generated, in whole or in part, by an Artificial Intelligence system based on the inputs, prompts, or data it receives, including without limitation text, images, audio, video, software code, analyses, summaries, recommendations, predictions, or other decisions or outputs, whether presented to a human user or consumed by another system.

1.3 “Generative AI Models” means AI, as defined in this Agreement, that is designed or used primarily to generate novel or synthetic content, including text, code, images, audio, video or other media, in response to prompts or other inputs, in a way that replicates or approximates human‑like content creation. Generative AI Models include, without limitation, large language models and other foundation or multi‑modal models that can be adapted or fine‑tuned for multiple downstream content‑generation tasks. 

2. Use of AI. Aon is entitled to use certain technology tools, including AI, in connection with providing the services and any deliverables under this Agreement, including the use of AI to process Client data subject to the terms of this Schedule and the Agreement.

3. AI Governance and Oversight. When using AI, Aon will: 

(i) Maintain an AI governance and risk management program that is designed to be in accordance with applicable AI-specific legislation and regulatory guidance (including, as applicable, the EU AI Act); and
(ii) Maintain meaningful human oversight over the design, operation and outputs of AI components used in providing the  service. 

4. Confidentiality; Third Party AI Providers. Where Aon uses AI in connection with the services, Aon shall comply with its confidentiality and data security obligations under the Agreement, including with respect to any onward transfer or processing of Client data by in relation to any third-party AI providers engaged by Aon for the purpose of providing the services.

5. AI Training and Use of Client Data. Aon will not use Client data or cause any third-party to use Client data to train any Generative AI Model. To the extent Aon trains a proprietary internal AI model, Aon will only use de-identified data.  

6. AI Outputs. To the extent any AI Output is included as part of a deliverable, the ownership and licensing provisions of the Agreement will apply, provided that the AI technology itself, and any internal Aon AI Output, generalized learnings, models, tools or methodologies derived therefrom remain owned by Aon. 

7. Client Responsibilities Regarding AI Use. To the extent Client directly generates AI Output using Aon’s AI tools, Client remains responsible for: (i) determining whether and how to use any AI Output in its business and for making any decisions based thereon; and (ii) ensuring that Client’s own use of AI Output complies with applicable laws and regulations. Subject to any restrictions in the Agreement, if Client inputs, incorporates, or otherwise uses any AI Output in connection with any Client AI system, tool, or model, Client does so at its own risk and Aon makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, with respect to such AI Output or its use in or with any Client AI system, tool, or model.  

8. AI Identification. Upon request, Aon will identify any applicable AI tools used to perform the Agreement, which will include (i) a description of the Client data that will interact with or be consumed by the AI, (ii) a description of the functionality of the AI and (iii) the purposes for which any AI output will be used.

9. Diligence Reviews. Where an AI tool used for the performance of this Agreement is internally developed by Aon, Aon will respond upon request once per year to a diligence review of the said AI tool. Such diligence may include: (i) client-facing policies on the use of AI at Aon; (ii) information related to the AI model and AI training methodology used; (iii) data used in the build and use of the AI system, including retention period of any data processed by the AI system; (iv) bias testing methodology, where relevant; (v) hosting environment; and (vi) security measures specific to AI risks identified.
